DRAFT — TO BE REVIEWED by a solicitor before launch.

Terms of service

These terms are the agreement between you (the seller) and dropquay ("we", "us") for using the dropquay platform. By creating an account you agree to them. Last updated 1 November 2026.

1. What dropquay is

dropquay is a UK wholesale supplier with selling tools built in. We publish a catalogue of products at delivered wholesale prices. You list those products on your own sales channels (for example Shopify, eBay, TikTok Shop, Wix, WooCommerce or Square) at prices you choose. When your customer buys, we charge you the wholesale price and arrange delivery of the product to your customer, then add the tracking details to the order on your channel.

We fulfil orders through third-party manufacturers, warehouses and print partners ("fulfilment partners"). The identity of our fulfilment partners is confidential and is not disclosed to sellers.

2. Your account

You must be 18 or over and, if selling as a business, authorised to act for it. Keep your login details private; you are responsible for everything done under your account. Tell us straight away if you think someone else has access. One person or business per account unless we agree otherwise.

3. Plans and subscription fees

Access to the platform needs a paid plan. Plans are billed monthly in advance by card through Stripe, and renew automatically until you cancel. You can cancel at any time from Plan & payments; your access continues until the end of the period you have paid for and no refund is given for part months. We may change plan prices with at least 30 days' notice by email. Prices include VAT where applicable.

If a subscription payment fails, automation (listing updates and order dispatch) pauses until it is paid. Your products and settings are kept for at least 90 days.

4. Buying products: per-order charges

Each time an order for a dropquay product arrives from your sales channel, we charge the payment card you have saved the wholesale price shown for that product in your dashboard at the time of the order, including delivery to your customer. This is a purchase of goods from us; you are our customer and the seller of record to your own customer. We do not dispatch an order until the charge has succeeded. Orders whose charge fails wait on your Orders page until a payment goes through.

Wholesale prices can change as our costs change. The price you are charged is always the one shown for the product when the order was received, and your dashboard shows the current price before you list. We never raise your retail prices automatically; we may pause a listing where your margin would fall below the minimum you have set.

5. Delivery

Delivery estimates shown in the catalogue are typical, not guaranteed. Dispatch and delivery times depend on the product's origin (UK stock, UK or EU print, or global warehouse). Tracking is added to your channel order automatically where the carrier provides it. We deliver to UK addresses; other destinations may be refused.

6. Problems with orders and refunds

You handle your own customer's questions, returns and refunds in line with consumer law and your channel's rules. Where the problem is ours, we refund you as follows:

  • Cancelled before dispatch: full refund of the charge to your card.
  • Lost in transit, arrived damaged, wrong item or faulty: report it from your Orders page within 45 days of the order ("Didn't arrive" from 10 days after the order). Photos are required for damaged, wrong or faulty items. Once confirmed with our fulfilment partner we refund the price you paid us for that item to your card. We may ask for more information before deciding.
  • Change of mind by your customer: not covered. Products are made or shipped to order, and we do not accept returns of unwanted items.

Refunds go back to the card that was charged and usually show within 5–10 working days.

7. Your responsibilities as a seller

You are responsible for your listings and sales, including: accurate descriptions and prices; complying with the Consumer Rights Act 2015 and the Consumer Contracts Regulations (including returns and cancellation rights); product safety and labelling where applicable; VAT, income tax and any registrations; and the terms of each sales channel you use. Some products are restricted on some channels; the catalogue shows these restrictions and we may block or remove such listings.

8. Print-on-demand designs

You may only upload designs you own or have the right to use. You confirm your designs do not infringe anyone's copyright, trade mark or other rights and are not unlawful or offensive. We may refuse or remove designs and cancel orders that break this rule, and you are responsible for any claims arising from your designs. You keep ownership of your designs; you give us a licence to use them only to make and deliver your orders.

9. Connecting sales channels

When you connect a channel, you authorise us to create and update listings, read orders and add tracking on that channel on your behalf, within the permissions the channel grants. You can disconnect a channel at any time, which removes the listings we created there. We are not responsible for a channel's own fees, policies, suspensions or outages.

10. Automation and accuracy

Stock, prices and delivery information come from our fulfilment partners and can be delayed or wrong. We apply safety buffers and pause listings where needed, but we cannot guarantee that every product shown is in stock or will arrive within the estimated time. You should check that your listings and margins make sense for your business.

11. Acceptable use

Do not use dropquay to sell counterfeit, unlawful, dangerous or deceptive products; to scrape or copy our catalogue for use outside the platform; to attempt to identify or contact our fulfilment partners; or to interfere with the service. We may suspend or close accounts that break these terms.

12. Our liability

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law. Otherwise, our total liability to you in any 12-month period is limited to the subscription fees and order charges you paid us in that period. We are not liable for loss of profit, business, sales or goodwill, or for indirect losses. Our liability for a faulty, missing or wrong product is to refund it as set out in section 6.

13. Ending the agreement

You can close your account at any time from your dashboard or by emailing us. We can end or suspend your account on notice if you break these terms, if your payments fail, or if we stop offering the service (with at least 30 days' notice where practical). Orders already paid for will still be fulfilled or refunded.

14. Changes to these terms

We may update these terms. For material changes we will email you at least 14 days before they take effect. Continuing to use dropquay after that date means you accept the new terms.

15. General

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If part of these terms is found unenforceable, the rest still applies. Our privacy policy explains how we use personal data and forms part of this agreement.

16. Contact
